2. Services and Engagements
The scope, deliverables, timelines, and fees for any engagement will be set out in a written proposal, engagement letter, or statement of work accepted by both parties. Work performed outside the agreed scope may be subject to additional fees, which will be communicated and agreed before commencement.
3. Quotes and Fees
Quotes provided by Mattere Pty Ltd are valid for 30 days unless otherwise stated. All fees are quoted in Australian dollars and are exclusive of GST unless expressly noted. Payment terms will be specified on each invoice. Overdue amounts may attract interest and may result in suspension of services.
4. Client Responsibilities
You agree to provide accurate, complete, and timely information and access to personnel, systems, and records reasonably required for us to perform the services. Delays caused by incomplete or late information may affect timelines and fees.
5. Intellectual Property
Upon full payment, you own the deliverables prepared specifically for you under an engagement. Mattere Pty Ltd retains ownership of its pre-existing methodologies, templates, tools, and know-how. Website content, including text and design, remains the property of Mattere Pty Ltd and may not be reproduced without written permission.
6. Confidentiality
Both parties agree to keep confidential all non-public information shared during an engagement, and to use such information only for the purpose of providing or receiving the services. This obligation survives the end of the engagement.
7. Limitation of Liability
To the extent permitted by law, Mattere Pty Ltd is not liable for indirect, incidental, or consequential losses arising from the services. Our total liability for any claim is limited to the fees paid for the specific engagement giving rise to the claim. Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you may have under the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth) or other applicable Australian legislation.
8. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these Terms of Service is intended to limit or exclude those guarantees. 9. Privacy

10. Termination

Provisions that by their nature should survive termination, including confidentiality, intellectual property, and liability provisions, will continue to apply.
11. Governing Law
These terms are governed by the laws of Victoria, Australia. The parties submit to the jurisdiction of the courts of Victoria and the Commonwealth of Australia.
12. Changes to These Terms
Mattere Pty Ltd may update these Terms of Service from time to time. The current version published on this page applies to website use and, unless replaced by a signed agreement, to new engagements. Continued use of this website after changes are posted constitutes acceptance of the updated terms.
